Article 1 (Application)
These Terms of Service ("Terms") set forth the conditions for using the service "IndieUp" ("Service") provided by RAY UP LLC ("Company"). All registered users must use the Service in accordance with these Terms.
Article 2 (Definitions)

- "Streamer" refers to a user who requests game keys through the Service and conducts streaming activities.
- "Game Key" refers to a code used to activate a game on platforms such as Steam.
- "Trust Score" refers to an evaluation index calculated based on a streamer's streaming history.
Article 3 (Registration)
To use the Service, you must agree to these Terms and apply for registration through the method specified by the Company. The Company may refuse registration in the following cases:
- When false information is provided
- When registration was previously cancelled due to a violation of these Terms
- When the Company deems the applicant unsuitable for other reasons
Article 4 (Distribution and Use of Game Keys)
- Game Developers may only list keys for games to which they hold rights.
- Streamers are prohibited from transferring or reselling received game keys to third parties.
- Streamers are obligated to stream within 21 days of receiving a key and report the stream URL within the Service.
- Failure to stream without valid reason will result in a decrease in Trust Score, affecting future key requests.
- Adult-oriented content (games containing sexually explicit expressions; "Adult-Oriented Content") may not be listed on the Service. Age-restricted games (such as those rated R15 equivalent due to violent content, or all-ages versions of games that also have adult-oriented versions) may be listed, but only the all-ages version and its store page may be listed.
- If the Company determines that a listed game's screenshots, descriptions, or content are unsuitable for listing on the Service, the Company may request that the Game Developer replace the materials or remove the listing of the game.
Article 5 (Prohibited Activities)
Users must not engage in the following activities:
- Acts that violate laws or public order and morals
- Acts related to criminal activity
- Acts that place excessive load on the Service's servers or networks
- Harassment or defamation of other users
- Fraudulent acquisition or resale of game keys
- False stream reports
- Acts that interfere with the Company's service operations
- Other acts deemed inappropriate by the Company
Article 6 (Trust Score and Stream Review)
The Service calculates a Trust Score based on a streamer's past performance. The Trust Score fluctuates based on stream approval, rejection, expiration, and other factors. The Company may change the Trust Score calculation method without prior notice. The Company may conduct final reviews of streams approved or rejected by Game Developers.
Article 7 (Content)
Copyrights of content posted or listed by users on the Service (game information, stream URLs, etc.) belong to the users. However, users grant the Company a free, non-exclusive license to use such content to the extent necessary for the operation, improvement, and promotion of the Service.
Article 8 (Service Suspension/Changes)
The Company may suspend or modify all or part of the Service without prior notice in the following cases:
- When performing system maintenance
- When force majeure such as natural disasters or accidents occurs
- When the Company deems it necessary for other reasons
Article 9 (Cancellation of Registration)
If a user violates these Terms, the Company may cancel their registration and delete their content without prior notice.
Article 10 (Disclaimer)
The Company assumes no responsibility for any disputes arising between users or between users and third parties in connection with the Service. The Company also makes no warranties regarding the accuracy, completeness, or usefulness of the Service content.
Article 13 (Premium Option)
- "Premium Option" refers collectively to features that allow Game Developers to pay rewards and request streams or video posts from Streamers (Premium Missions and Premium Offers).
- "Premium Mission" refers to a format in which a Game Developer publicly recruits Streamers by presenting conditions and rewards.
- "Premium Offer" refers to a format in which a Game Developer sends a direct request to a specific Streamer.
- "Reward" refers to the consideration paid by a Game Developer when a Streamer completes the requested stream.
Article 14 (Eligibility)
- Only Streamers who meet the rank designated by the Company (Silver or above) may apply for Premium Missions. Accepting a Premium Offer is not restricted by rank.
- Streamers under a usage restriction due to penalties under Article 20 may not apply for or accept Premium Option transactions.
- Transactions in which a Game Developer and a Streamer are the same person or substantially the same entity (so-called self-dealing) are prohibited.
Article 15 (Fees and Payment Methods)
- In addition to the reward amount paid to Streamers, Game Developers shall pay the Company a platform fee equal to 20% of the reward amount ("Fee").
- Payment shall be made by credit card through the payment processing service used by the Company (the payment infrastructure provided by Stripe, Inc., "Stripe").
- Payment is executed when a Game Developer approves an applicant for a Mission, or when a Streamer accepts an Offer. No charge is incurred for creating or applying to a Mission alone.
- Credit card information is stored by Stripe and is not stored on the Company's servers.
- If a discrepancy arises between billing and transaction status due to communication failures or other issues during payment processing, the Company will promptly resolve it by cross-checking transaction and payment records and either continuing the transaction or issuing a refund. Please contact us if you believe this applies to you.
Article 16 (Stream Performance, Reporting, and Approval)
- Approved or accepted Streamers are obligated to perform the requested stream or video post in accordance with the request by the specified deadline and report the stream URL on the Service.
- Game Developers shall review reported streams and either approve or send them back for revision. Send-backs are limited to cases with objective reasons defined by the Company (missing PR disclosure, insufficient stream duration, off-platform delivery, violation of stream guidelines, or issues with stream content), and may be made up to two times per transaction.
- If a Game Developer does not approve or send back a reported stream within five days of reporting, the stream shall be deemed automatically approved and reward payment processing shall be executed.
Article 17 (Flow of Funds)
- The Company receives the reward portion of amounts paid by Game Developers on behalf of Streamers (collection agency) and pays Streamers after approval under the preceding article.
- Payments to Streamers are made by transfer to the payout account opened by the Streamer on Stripe (Stripe Connect account). The timing of deposits to a Streamer's bank account follows Stripe's payout schedule.
- The Fee portion is finalized as the Company's revenue upon completion of payment (cancellation handling is governed by Article 19).
- If fees or other charges defined by Stripe arise when depositing from a Streamer's payout account to a bank account, such fees shall be borne by the Streamer.
Article 18 (Payout Account Registration)
- Before applying for or accepting a Premium Option transaction, Streamers must complete payout account registration (including identity verification) in accordance with Stripe's instructions. Streamers without a valid payout account may not apply for or accept Premium Option transactions. Identity verification information and bank account information are obtained and stored directly by Stripe, and the Company does not retain them.
- If a payout account becomes invalid after a transaction begins (such as identity verification rejection), payouts will be held even after approval. The Company will guide the Streamer to reactivate the account, and if the issue is not resolved within a reasonable period, the Company will determine the handling, including cancellation and refunds.
Article 19 (Cancellation and Refunds)
- Developer-initiated cancellation (limited to after approval and before stream reporting): only the reward amount is refunded to the Game Developer; the Fee is not refunded.
- Streamer-initiated cancellation: the full amount paid is refunded to the Game Developer. The Streamer is subject to penalties under Article 20.
- Expiration of the stream deadline: if a Streamer fails to report by the deadline, the transaction ends and the full amount paid is refunded to the Game Developer. The Streamer is subject to penalties under Article 20.
- Fees charged by the payment processor in connection with refunds are borne by the Company.
- No refunds are provided for transactions after approval and payout completion due to circumstances between the parties.
Article 20 (Streamer Penalties)
If a Streamer-initiated cancellation or expiration of the stream deadline occurs, the Company may take the following measures against the Streamer based on cumulative count: first occurrence is a warning, second occurrence is a 30-day suspension from the Premium Option, and third occurrence or later is a 90-day suspension. In severe cases, the Company may cancel the account registration.
Article 21 (Company Adjudication)
- If a dispute arises between a Game Developer and a Streamer regarding approval or send-back, or if the Company determines that a send-back lacks the objective reasons defined in these Terms, the Company may review the transaction and decide to approve (execute reward payment) or cancel (full refund).
- Both parties shall comply with the Company's decision under the preceding paragraph.
Article 22 (Taxation)
- Tax obligations related to rewards received by Streamers (including filing of income tax, consumption tax, etc.) are borne by the Streamer.
- If the Company is legally obligated regarding withholding or other tax treatment, the Company will respond in accordance with applicable laws.
Article 23 (PR Disclosure Obligation)
Streamers are obligated to clearly disclose in streams and videos under the Premium Option that the content is promotional (such as by using labels like "PR" or "Promotion"). Streams that violate the Act against Unjustifiable Premiums and Misleading Representations or other applicable laws are prohibited.
Article 24 (Prohibited Acts in Premium Option)
- Inducing direct transactions outside the Service (acts aimed at avoiding fees)
- Reporting the same stream or video as the result of multiple transactions
- False stream reports or falsification of view counts, etc.
- Self-dealing as defined in Article 14, Paragraph 3
- Using the Premium Option for Adult-Oriented Content. Even for age-restricted games, requests are limited to all-ages versions only.
Article 25 (Changes to Terms)
The Company may change these Terms as necessary. Changes will take effect when posted on the Service.
Article 26 (Language)
The governing text of these Terms shall be the Japanese version. In the event of any discrepancy between the Japanese version and any translation provided for reference, the Japanese version shall prevail.
Article 27 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. In the event of a dispute related to the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
